Asset Management and Investment Funds

We advise asset managers, fund administrators, family offices, nstitutional investors and financial institutions in the structuring and operation of investment funds, with a focus on legal certainty, regulatory compliance, and operational efficiency. Our work ranges from the formation of traditional vehicles — such as real estate investment funds (FIIs), credit receivables investment funds (FIDCs), private equity funds (FIPs), multimarket and equity funds — to more complex structures involving alternative assets or customized strategies.

We support our clients in their interactions with the CVM (Brazilian Securities and Exchange Commission) and other regulatory bodies, assisting with the drafting of regulations, structuring of public and private offerings of fund units, fund reorganizations, and the development of compliance and governance policies. We also advise on transactions involving the movement of assets within portfolios, with careful attention to legal, tax, and operational impacts.

In addition to the funds themselves, we handle institutional matters related to asset managers and investment advisors, such as the incorporation of companies, obtaining regulatory authorizations, and structuring partnerships, shareholders’ agreements, and compensation models. Our goal is to align business growth and professionalization with current regulations and market best practices.
