Our work covers everything from the initial stages of due diligence, and acquisition, through the structuring of project development (whether incorporation, land subdivision, or other formats), all the way to the sale or leasing of the asset.

With extensive experience in M&A transactions in the real estate sector, we support clients in the purchase and sale of companies, assets, and developments, managing all phases of the operation: negotiation of memorandums, due diligence,definitive agreements, and closing. We also structure companies and joint ventures focused on real estate developments, with special attention to corporate governance and strategic alignment among partners.

Our team also works on corporate restructurings with real estate impact — such as spin-offs, mergers, or liquidations — and on defining legal structures that enable asset reorganizations or the entry of new investors. In partnership with the Corporate Finance team, we assist in fundraising for real estate projects and vehicles, whether through structured financings, debenture issuances, or other debt instruments.

Finally, we have solid experience in negotiating and drafting complex contracts in the sector, including development agreements, built to suit contracts and sale & leaseback, as well as contracts with investors, operators, and offtakersalways aiming to ensure legal security and commercial viability for the projects.
